Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you", "your") and Pathrule ("Pathrule", "we", "us", "our") and govern your use of the Pathrule desktop application (Pathrule Studio), the Pathrule CLI, the Pathrule VS Code extension, the Pathrule iOS app, the local and hosted MCP servers, the public design-artifact viewer, the cloud service, and the website at pathrule.io (together, the "Service").

By creating an account, signing in, installing the desktop app, or otherwise using the Service, you agree to these Terms and to our Privacy Policy (/privacy-policy). If you do not agree, do not use the Service.

Service availability notice. Pathrule features may change, break, or be removed as the Service evolves. By using the Service you accept that it is provided "as is" unless a separate written agreement says otherwise. See Section 10.

1. Eligibility & account

You must be at least 16 years old to use the Service. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and "you" includes that organisation.

You are responsible for keeping your account credentials secure and for everything that happens under your account. Notify us at [email protected] as soon as you suspect unauthorised access. You may not share an account between multiple individuals; each individual must use a separate seat.

2. The Service

Pathrule is a shared memory, rule, and skill layer for AI coding agents (such as Claude Code, Cursor, Codex, and other MCP-compatible clients). It consists of a native desktop application, a command-line runtime, an editor extension, a mobile companion app, a local hook supervisor, MCP servers, an AI router, and a cloud backend that stores memories, rules, skills, work episodes, and activity logs you author.

2.1 Surfaces

The Service is delivered through the following surfaces. Not every capability is available on every surface, and availability may change.

We may add, change, or remove features at any time. Where a change materially reduces functionality of a paid plan you have already paid for, we will give you reasonable advance notice and, on request, pro-rate any unused fees as a credit on your account.

3. Plans & billing

3.1 Plans

Pathrule is offered through tiered plans. Plan names, prices, included limits, and the per-seat add-on price are listed in-app and on pathrule.io. The current plan structure is:

Solo includes one user and does not include team invites. Each paid plan includes one seat. Additional seats are billed at the per-seat rate listed in-app. Annual billing offers a discount versus monthly billing.

Some access, such as bespoke arrangements with individuals or companies, is granted manually and may include terms that supplement these Terms; if those supplemental terms conflict with these Terms, the supplemental terms control for that access only.

3.1.1 Team free trial

The Team plan starts with a 14-day free trial, on monthly or annual billing.

  • A payment method is required at checkout. Nothing is charged during the trial period.
  • The trial is available once per organisation. An organisation that has previously held a trial, a subscription, or any other billing event on any plan is not eligible, and checkout will tell you so.
  • We email the organisation owner 7 days, 2 days, and 1 day before the trial ends.
  • Unless you cancel before the trial ends, the subscription converts automatically to a paid Team subscription at the price shown at checkout, and the auto-renewal terms in Section 3.3 apply from that point. If no valid payment method is on file when the trial ends, the subscription is cancelled instead of charged.
  • You may cancel at any time during the trial from your account or the billing portal, at no cost.
  • The Business plan does not include a trial. Solo is free and needs no trial.

3.2 Payment

Payments are processed by Stripe. By providing payment information you authorise us, through Stripe, to charge the payment method you select for all fees and applicable taxes. You are responsible for keeping your payment method current.

3.3 Auto-renewal & seat changes

Subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current price for your plan, until you cancel. You may cancel at any time from your account; cancellation takes effect at the end of the current billing period and you keep access until then.

If you add seats, your subscription is updated immediately and the additional seats are billed (with proration where applicable) without a separate confirmation step. By inviting an additional seat you authorise the resulting charge. Seats that you remove are credited on the next invoice or, where applicable, refunded to your payment method, in line with Stripe's processing.

3.4 Taxes

Listed prices exclude applicable taxes (VAT, sales tax, withholding) unless stated otherwise. You are responsible for taxes assessed on your purchase, except those based on our income.

3.5 Failed payments

If a payment fails, we will retry collection in line with Stripe's standard dunning. If a paid organisation remains unpaid, we apply a 30-day grace period with warning emails 7 days and 3 days before the grace period ends, after which the organisation is downgraded and data is retained or deleted in line with our Privacy Policy (/privacy-policy).

3.6 Usage allowances

Some capabilities carry a plan allowance in addition to the limits listed on pathrule.io:

  • Cloud dictation. Cloud speech-to-text is metered in seconds of processed audio and pooled across your organisation (per-seat minutes multiplied by paid seats, reset weekly, no roll-over). When the allowance is exhausted, dictation falls back to the on-device engine on macOS rather than stopping, except for languages the on-device engine does not support, which stay on the cloud path. Failed provider calls are not counted against your allowance.
  • Signals. Runtime signal ingestion is capped per plan as listed on pathrule.io and in the docs.
  • AI-assisted features. Features that call our AI router under our key are subject to fair-use rate limits so that one organisation cannot exhaust shared capacity.

We may adjust allowances as provider costs and usage patterns change. Where a reduction materially affects a paid plan you have already paid for, Section 2 applies.

4. No refunds

All fees are non-refundable, except where required by mandatory law. You may cancel at any time; on cancellation you keep access until the end of the current billing period. We do not pro-rate or refund partial periods, downgrades, unused seats, or accidentally upgraded plans, and we do not refund for periods where you did not use the Service.

Where mandatory consumer law in your jurisdiction grants you a right of withdrawal that we cannot waive, that right applies; otherwise this Section controls.

5. Acceptable use

You agree not to, and not to allow any user, agent, or third party to:

  • Use the Service in any way that violates applicable law, infringes intellectual-property or privacy rights, or facilitates illegal activity.
  • Upload or paste into Pathrule any content you do not have the right to use, including secrets, credentials, API keys, or third-party customer data.
  • Reverse engineer, decompile, or attempt to derive source code or model weights from the Service, except to the extent expressly permitted by law.
  • Resell, sublicense, or repackage the Service or the AI router as your own product, or expose Pathrule's AI router as a generic LLM proxy or API to third parties.
  • Scrape, crawl, harvest, or programmatically extract data from the Service except through documented APIs and within published rate limits.
  • Probe, scan, or test the vulnerability of the Service, or breach or circumvent any authentication, rate-limit, or access control, without our written authorisation.
  • Use the Service to send spam, phishing, malware, or other harmful content.
  • Attempt to interfere with the Service's operation, including by overwhelming it with requests or by interfering with other users.
  • Use the Service to develop a directly competing product, or to benchmark it for the purpose of building a competing product.

6. Your content

6.1 Ownership

You retain all ownership of memories, rules, skills, activity logs, and any other content you submit to the Service ("Your Content"). We do not claim ownership of Your Content.

6.2 Licence to operate the Service

You grant Pathrule a worldwide, royalty-free, non-exclusive, non-sublicensable (except to our sub-processors as needed to run the Service) licence to host, store, copy, transmit, display, and process Your Content solely as necessary to:

  • Provide the Service to you and to other members of workspaces you authorise;
  • Route AI requests through the AI router and forward prompts to the AI provider you selected;
  • Make backups and ensure operational continuity;
  • Enforce these Terms and comply with law.

6.3 No use of Your Content to train foundational AI models

We do not use Your Content to train new general-purpose or foundational AI models, and we do not sell Your Content. We may use aggregated, de-identified, or operational data derived from your use of the Service to operate, debug, monitor, and improve Pathrule itself: for example to tune routing decisions, surface common failure patterns, evaluate the quality of the AI router, prevent abuse, and prioritise product work. Where this processing relies on personal data it is governed by our Privacy Policy (/privacy-policy).

6.4 Your responsibility for Your Content

You are solely responsible for Your Content and for ensuring you have the right to submit it to the Service. Pathrule cloud rows are protected by Supabase Row Level Security, but you are responsible for what you choose to put in those rows. Do not paste secrets or third-party customer data into Pathrule.

6.5 Content you choose to share publicly

The Service can publish a design you author in Pathrule Studio to a public viewer link (a "shared artifact"). Sharing is an explicit action you take.

  • The payload is encrypted before upload and the decryption key travels in the link fragment, which browsers do not send to a server. We hold ciphertext and cannot read a shared design. You can additionally protect a link with a password.
  • Subject to that, a shared artifact is reachable by anyone who has the link, without signing in, and may be cached by browsers and other intermediaries.
  • You are responsible for ensuring that a design you share contains no confidential information, personal data, credentials, or third-party material you do not have the right to publish.
  • You can revoke a share link at any time from Pathrule Studio. Revocation stops the viewer from serving new requests; it cannot retract copies already made by people who had the link.
  • The public viewer renders and plays what you shared. It has no write path back into your workspace.

6.6 Design imports from third-party tools

Where you connect a design tool (for example Figma) to Pathrule, you authorise us to read the files and nodes you select through that tool's API in order to transfer them into your workspace, using the credentials you supply. You are responsible for having the right to export that material, and the third party's own terms continue to govern your use of their service.

7. AI outputs

The Service routes prompts to AI providers (currently Anthropic's Claude models, selected per feature and plan) and returns their outputs to you and to your AI agent. Cloud dictation is transcribed by a third-party speech-to-text provider named in our Privacy Policy (/privacy-policy). AI outputs:

  • Are generated by third-party models and may be inaccurate, incomplete, biased, or unsuitable for your purpose;
  • Should be treated as suggestions, not professional advice, and reviewed by you before being relied upon;
  • May reproduce copyrighted material; you are responsible for ensuring your use of an output complies with applicable law.

Pathrule does not warrant the accuracy, fitness, or non-infringement of AI outputs, and we are not liable for decisions made or code shipped on the basis of an AI output. Always review AI-generated code, configuration, or guidance before applying it.

7.1 Agent sessions and autonomous work

Pathrule Studio runs AI coding engines you have installed and authorised on your own machine, under your own provider accounts, against directories you select. Those sessions can create, modify, and delete files, run commands you approve, and act on schedules or task queues you configure.

  • You choose what an agent may touch. Selecting a directory, approving a permission prompt, starting a scheduled or autonomous run, or granting a broad standing approval is your decision and your responsibility.
  • Review before you ship. Changes an agent proposes or applies are yours to review. We are not liable for code, configuration, data, or infrastructure changes produced by an agent run, including runs you configured to proceed without per-step approval.
  • Keep your work in version control. Use branches, commits, and backups so that an unwanted change can be reverted. Pathrule does not guarantee that agent-made changes are recoverable.
  • Third-party engines. The behaviour of the coding engine itself (for example Claude Code, Codex, or another supported engine) is determined by that engine and its provider, not by Pathrule.

8. Third-party skills & services

Pathrule allows you (and your AI agent on your behalf) to discover and install skills published by third parties, for example through the find-skills protocol that searches public registries and GitHub repositories. Third-party skills are not created, vetted, audited, or endorsed by Pathrule. We disclaim all liability for the content, security, behaviour, or licensing of third-party skills, and you install and run them at your own risk.

Pathrule's protocols instruct AI agents to seek your explicit approval before installing or invoking third-party content. However, the actual behaviour of an AI agent is determined by the agent's host runtime (for example Claude Code, Cursor, Codex), not by Pathrule. If an agent acts without asking, or acts on an over-broad approval, the responsibility for the resulting installation or action rests with you, not with Pathrule. Configure your agent's permissions accordingly.

The Service may also link to or interoperate with third-party services such as Anthropic, Stripe, GitHub, Figma, Apple, our cloud speech-to-text provider, the AI coding engines you install, and identity providers. Their terms and privacy policies govern your use of those services. Where a surface is distributed through a third-party store (for example the Apple App Store, the Visual Studio Marketplace, Open VSX, npm, or Homebrew), that store's terms also apply to the distribution of that build.

9. Intellectual property

The Service, including all software, designs, brand, logo, copy, and documentation, is owned by Pathrule and its licensors and is protected by intellectual-property law. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service in accordance with these Terms; we reserve all rights not expressly granted.

You may submit feedback, bug reports, or suggestions ("Feedback"). You grant us a perpetual, irrevocable, royalty-free licence to use Feedback for any purpose, including improving the Service, without obligation to you.

10. Service availability

The Service is offered on a best-effort, "as available" basis. We do not commit to any uptime, response time, or service-level target unless a separate written agreement says otherwise. Maintenance, outages, version migrations, and breaking changes can happen with little or no notice. We will try to communicate planned changes through the in-app interface or email where reasonable.

11. Suspension & termination

You may stop using the Service and cancel your subscription at any time. On cancellation you keep access until the end of the current billing period.

We may suspend or terminate your access, or terminate these Terms, if:

  • You materially breach these Terms (including Section 5);
  • Your account remains unpaid after the 30-day grace period described in Section 3.5;
  • We are required to do so by law or by an order of a competent authority;
  • We reasonably believe continued service to you creates a security, legal, or reputational risk to Pathrule or to other users.

Where lawful and practical we will give you prior notice and a chance to cure. On termination, your right to use the Service ends. Sections that by their nature should survive (including 6.3, 7, 8, 9, 12, 13, 14, 15, and 17) will survive termination.

After termination we retain or delete your data in line with our Privacy Policy (/privacy-policy).

12. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Service will be uninterrupted, secure, error-free, or free of viruses or harmful components. No oral or written information from us creates a warranty not stated here.

13. Limitation of liability

To the maximum extent permitted by law:

  • In no event will Pathrule be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, even if advised of the possibility of such damages.
  • Pathrule's total aggregate liability arising out of or relating to these Terms or the Service is capped at the greater of: (a) the fees you paid to Pathrule in the twelve (12) months preceding the event giving rise to the liability, or (b) USD 100 (or its equivalent in your local currency).

These limits apply to all claims under any theory of liability (contract, tort, statute, or otherwise) and reflect the agreed allocation of risk between you and Pathrule. Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the maximum extent permitted by law.

14. Indemnity

You will defend, indemnify, and hold harmless Pathrule and its affiliates and personnel from any third-party claim, demand, or proceeding, and any related losses, damages, settlements, costs, and reasonable attorneys' fees, arising out of or relating to: (a) Your Content; (b) your use of the Service in breach of these Terms or applicable law; (c) third-party skills you (or your agent) installed or invoked; or (d) your infringement of any third-party right.

15. Governing law & dispute resolution

These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-laws principles, and without prejudice to mandatory consumer-protection rights you may have under the law of your country of residence.

The İstanbul Çağlayan Courts and Enforcement Offices have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where mandatory law gives you the right to bring proceedings in another forum (for example consumer courts in your country of residence).

16. Changes to these Terms

We may update these Terms from time to time. When we make material changes we will:

  • Update the "Last updated" date at the top of this page;
  • Notify registered users by email and via an in-app banner at least 14 days before the changes take effect (30 days for changes that materially affect your rights or fees);
  • Where required by law, ask for fresh acceptance.

Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms. If you do not agree, stop using the Service before the effective date.

17. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy (/privacy-policy) and any plan-specific or order-specific terms we agree with you in writing, are the entire agreement between you and Pathrule and supersede any prior agreement on the same subject.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
  • No waiver. Our failure to enforce a right is not a waiver of that right.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or to an affiliate, on notice to you.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, including network outages, third-party-provider failures, or government action.
  • Notices. We may give you notice by email to the address on your account, via an in-app banner, or by posting on the website. You give us notice by emailing [email protected].
  • Language. These Terms are published in English. Where translations are provided for convenience, the English version prevails in case of inconsistency.
